NOTICE OF OWNERSHIP AND PROHIBITIONS ON AUTOMATED COLLECTION, USE FOR ARTIFICIAL INTELLIGENCE, AND REVERSE ENGINEERING

Article 1. Definitions and scope

In this notice:

  1. "VISEM" means the owner and operator of the Service, together with the persons VISEM authorizes to protect its rights.

  2. "Service" means the website visem.vn, all of its subdomains, and all servers, application programming interfaces, connection channels, applications, files and other systems that VISEM operates to provide courses, the game world and related features, in existing or future form.

  3. "VISEM Content" means everything created or owned by VISEM, or licensed to VISEM, that is made available through the Service or associated with the VISEM name, including but not limited to:

    a) Source code, compiled or minified code, protocols, data structures, databases, and the selection and arrangement of content;

    b) Courses, course stages, lessons, tests, questions, answers, documents, articles, transcripts;

    c) Videos, audio, music, images, graphics, maps, characters, storylines, interfaces, designs;

    d) Names, trademarks, logos;

    đ) This notice itself.

    VISEM Content remains VISEM Content wherever it is located, in whatever form, language or format, whether obtained directly from the Service or through any other source, including copies, cached or archived copies, translations, summaries, extracts and all data and products derived from it.

  4. "Automated System" means any software, script, bot, crawler, programmatically controlled browser, artificial intelligence agent, third-party service or other means that accesses or processes the Service or VISEM Content without a person directly operating each request. Automated Systems do not include browsers and accessibility tools (such as screen readers and magnifiers) that a person uses to view the Service for themselves, in the ordinary way, at human speed, provided that such tool does not use an Artificial Intelligence System to process VISEM Content. Tools that translate, summarize, paraphrase or describe content by using an Artificial Intelligence System do not fall within this exclusion.

  5. "Artificial Intelligence System" means any model, algorithm or system capable of learning from data, or of generating content, predictions, recommendations or decisions from data, including but not limited to machine learning models, language models, generative models, semantic search systems and artificial intelligence agents.

  6. The acts described in this notice are to be interpreted in their broadest sense: they apply to all forms, means and technologies, existing or future; to part or all; to original or transformed form.

  7. This notice applies to every individual and organization, in any country, whether acting manually, through an Automated System, or through another person.

Article 2. Rights of VISEM

  1. VISEM retains all rights recognized by law in the Service and VISEM Content, including but not limited to copyright, related rights, trademark rights, trade secret rights and database rights.

  2. No one has any right in the Service or VISEM Content other than:

    a) The permitted scope under Article 6;

    b) The rights of users under the Terms of Use;

    c) A written license granted by VISEM under Article 7;

    d) Rights that the law mandatorily grants to everyone, as stated in Article 13, clause 2.

  3. There is no implied license. None of the following means that VISEM permits any act prohibited by this notice: VISEM Content is publicly posted or viewable without logging in; it is not blocked by technical measures; it is not prohibited, or not yet specifically prohibited, in machine-readable instructions; such instructions are temporarily unavailable, return an error, or are open to more than one interpretation.

  4. Third-party components released under their own licenses (such as open-source licenses of software libraries or fonts) remain subject to those licenses, to the extent those licenses permit. This notice applies to all other parts of the Service, and to the way VISEM selects, arranges and combines those components.

Article 3. Prohibited conduct

Except within the scope of Article 2, clause 2, no individual or organization may, directly or indirectly, engage in the following conduct, including but not limited to:

a) Using an Automated System to access, browse, download, copy, collect, extract, analyze, index, cache, store, replicate or otherwise process any part of the Service or VISEM Content; or to interact automatically with the Service, such as creating accounts, logging in, submitting forms, controlling characters or playing the game.

b) Systematically or in bulk copying, collecting, recording, capturing, filming or downloading VISEM Content, by any means, including manually, through multiple persons or multiple accounts.

c) Using VISEM Content for any activity relating to an Artificial Intelligence System, including but not limited to: building, training, pre-training, fine-tuning, alignment, reinforcement learning, distillation, evaluation, benchmarking, testing, labeling, generating synthetic data, use as examples, use as context or retrieval data, creating vector embeddings or indexes, or model extraction or replication. This prohibition applies even where VISEM Content is used only to produce intermediate data that is then used for any of the above activities.

d) Concealing, falsifying or misrepresenting one's own identity or that of an Automated System, including the user-agent string, network address and organization name; or impersonating a search engine, a user's browser, or a system permitted under Article 6.

đ) Reverse engineering, decompiling, decrypting, disassembling, de-minifying, or reducing to human-readable form (including with the help of an Artificial Intelligence System); observing, recording or analyzing traffic between the Service and a device in order to learn the structure of the Service; or otherwise attempting to discover, reconstruct or simulate the source code, algorithms, protocols, data structures or game mechanics of the Service.

e) Creating, distributing or using clients, servers, tools or software that replace or emulate the Service, or interfering with the operation of the Service.

g) Bypassing, disabling, circumventing or obstructing any protective measure of the Service, including but not limited to: authentication, access control, rate limits, quantity limits, detection traps, watermarks, encryption and address blocking; including any means of avoiding detection or application of such measures, such as using multiple network addresses, proxy networks, multiple accounts, or changing technical identity.

h) Copying, distributing, reposting, publishing or communicating to the public any part of VISEM Content, whether paid or free.

i) Selling, renting, sublicensing, distributing, sharing or providing (including free of charge, as a service, or through an application programming interface) any product, service, dataset or model that contains VISEM Content, reproduces VISEM Content, or derives a significant part of its value from VISEM Content; or using VISEM Content to develop, improve or operate any other product or service, whether or not it competes with VISEM.

k) Removing, obscuring, cropping, blurring, falsifying, disabling, or otherwise interfering with copyright notices, this notice, identifiers, watermarks, metadata or any rights management information attached to VISEM Content; or distributing VISEM Content knowing that such information has been interfered with.

l) Collecting or exploiting information or personal data of learners, players or other users of the Service.

m) Doing anything else that has the same purpose as, or produces a result similar to, the conduct described in this Article.

Article 4. Indirect conduct, indirect sources and existing data

  1. The prohibitions in Article 3 apply also where a person acts through, hires, commissions, authorizes, funds, permits, assists or enables another person or an Automated System. The person who operates, owns or commissions an Automated System is responsible for the conduct of that system as for its own conduct.
  2. No one may receive, purchase, retain, use or further provide VISEM Content, or the information or data referred to in Article 3, point l, that they know or should know was obtained in breach of this notice.
  3. The prohibitions in Article 3 relating to VISEM Content apply whether VISEM Content is obtained from the Service or from any other source, including but not limited to: search engine caches, web archives, web-crawled datasets (public or commercial), data vendors, and copies reposted by others. Permission from an intermediary source does not replace permission from VISEM.
  4. This notice applies to all use, retention and provision of VISEM Content occurring on or after its effective date, even where the VISEM Content was collected before that date. The absence of this notice at the time of collection does not make any earlier infringement lawful.

Article 5. Reservation of text and data mining rights

  1. VISEM expressly reserves its text and data mining rights, and refuses the use of the entire Service and all VISEM Content for text and data mining, for scientific research, for experimentation and for training Artificial Intelligence Systems, whether for commercial or non-commercial purposes. This reservation is made: under the law of Vietnam on copyright and related rights, including the provisions allowing rights holders to reserve and refuse the use of published works, texts and data for scientific research, experimentation and training of artificial intelligence systems; under Article 4(3) of Directive (EU) 2019/790, being a reservation that providers of artificial intelligence models must identify and respect under Regulation (EU) 2024/1689 on artificial intelligence; and under any similar provision of other countries and territories, to the fullest extent those provisions allow.
  2. This reservation is expressed by this notice itself, and by metadata, machine-readable rights management information and technological measures, including but not limited to: the tdm-reservation and tdm-policy HTTP headers, the /.well-known/tdmrep.json file, meta tags, the robots.txt file, notices at the top of files, and the login requirement for learner-only content. The reservation applies to every part of the Service and VISEM Content, even where a particular resource does not carry any of the means listed above.
  3. VISEM's permission for certain systems to read the Service under Article 6 is not a waiver of this reservation.
  4. The part of VISEM Content that a viewer must log in to access is content protected by technological measures. VISEM Content obtained by any of the following means is not from a lawful source, including but not limited to: bypassing, disabling or circumventing the technological measures of the Service; using an account in breach of the Terms of Use or of this notice; engaging in any conduct under Article 3; and any copy made or provided in breach of this notice, including copies obtained through the sources referred to in Article 4, clause 3.
  5. Even where the reservation in this Article is, for any reason, not recognized, the use of VISEM Content for scientific research, experimentation or training of Artificial Intelligence Systems can be lawful only if it meets every condition set by law, including: not being for a commercial purpose; having a lawful source; not circumventing technological measures; not conflicting with normal exploitation; and not producing output that substitutes for VISEM Content in the market. VISEM commercially exploits VISEM Content by providing paid courses; therefore any use of VISEM Content to produce training content, answers or products with the same function unreasonably prejudices VISEM's rights.

Article 6. Permitted scope

  1. Anyone may view the public parts of the Service using browsers and the accessibility tools referred to in Article 1, clause 4, to read and view them themselves in the ordinary way. Users with an account have additional rights under the Terms of Use.

  2. Search engines and search assistants named in the permitted group of the robots.txt file, as at the time of access, may read only the paths that file permits, and only to:

    a) Index for search and display results consisting of a title, a short snippet and a link to the original page on visem.vn;

    b) Answer a specific user request, clearly citing the source with a link to the original page on visem.vn.

  3. Link-preview bots of social networks and messaging applications may read public pages, only to display the title, description and thumbnail image when a user shares a link.

  4. The scope in clauses 2 and 3 does not include: displaying a full cached copy of a page; retaining content longer than necessary for the stated purpose; or any activity under Article 3, point c, except using content as temporary context to answer exactly the request described in clause 2, point b.

  5. The scope in clauses 2 and 3 applies only to systems genuinely operated by the named organization, verifiable in the way that organization publishes. A system claiming the name of another organization does not enjoy this scope, and breaches Article 3, point d.

  6. VISEM may narrow or terminate the scope in clauses 2 and 3, for one or all systems, at any time, by amending the robots.txt file or this notice. Prior permission creates no right to continue retaining or using content beyond the stated purpose.

  7. Articles published in the https://visem.vn/chia-se/ section may be quoted or reposted verbatim, without modification, one article at a time, with a link to the exact original article, for non-commercial purposes, on the following conditions: the source "VISEM" is clearly credited; the copyright notice and the text and data mining reservation at the end of the article are kept intact; and the reposter does not permit or enable any other party to use the reposted copy for the conduct under Article 3, points a and c. "Non-commercial" means not charging readers, not carrying advertising or affiliate links, and not being used to promote or sell products or services of anyone other than VISEM. This scope does not apply to other parts of the Service; does not include the conduct under Article 3, points a, b, c and i; and does not include reposting all, most, or a systematic collection of the articles in this section. VISEM may narrow or terminate this scope by amending this notice, or by a request sent to the reposter; upon receiving the request, the reposter must remove the reposted copy within seven days.

Article 7. Declaration and licensing

  1. Any individual or organization that wishes to collect or use the Service or VISEM Content beyond the scope of Article 6 must declare itself and request a license at https://visem.vn/ai before accessing any part other than: this notice, the page https://visem.vn/ai, the Terms of Use page and the machine-readable instructions.
  2. A declaration must be truthful and complete, correctly stating the operating organization, the system name, the purpose and the scope.
  3. A declaration, VISEM's acknowledgment of receipt of a declaration, or VISEM's lack of response, is not a license. Only a written license (including in electronic form) issued by VISEM, stating the scope, purpose and duration, is a license.
  4. A license granted on the basis of a false declaration is void from the outset. Use beyond the scope, purpose or duration of a license is a breach of this notice.

Article 8. Publication of this notice

  1. VISEM publishes this notice at https://visem.vn/ai, and has the right to place the full text, a summary or a link to this notice in any other location, including but not limited to: the Terms of Use page, the robots.txt file, HTTP headers, page markup and code files of the Service. The fact that a particular page, file or resource does not carry this notice or a link to it does not change the scope of this notice. A summary serves only to point to this notice and does not replace or narrow it.
  2. Every individual and organization that accesses or uses the Service or VISEM Content, directly or through another source, knows or should know of this notice. Not reading this notice, or using a system that cannot read it, is not a ground for exemption from liability.
  3. Continued access to or use of the Service after this notice is published constitutes acceptance of this notice. VISEM's rights under law exist whether or not such acceptance occurs.

Article 9. Access records and evidence

  1. VISEM has the right to record technical data of accesses to the Service, consisting of: network address; user-agent string; time; domain, path and method of the request; response code and size; referrer; other request headers, except authentication credentials; results of system identity verification; and technical data of the same kind needed for the purposes in clause 2.
  2. This data is used to ensure the security and operation of the Service, to detect and prevent violations, and to protect VISEM's rights in any dispute. Because violations may be discovered only years later (for example, when an artificial intelligence model is released), VISEM retains this data for as long as it is needed for those purposes, and that period may not be determinable in advance.
  3. VISEM has the right to use any lawfully obtained information, document or data as evidence before any competent authority, including but not limited to: the data in clause 1; daily snapshots and archives of the Service and of this notice; reference samples; identifiers and watermarks embedded in VISEM Content; and the content and output of products, services or models suspected of infringement.
  4. The absence of a VISEM record of an act does not mean that the act did not occur, nor that it was permitted.
  5. The processing of personal data in these records complies with the law of Vietnam on personal data protection and its implementing regulations.

Article 10. Protective measures and handling of violations

  1. VISEM has the right to apply any lawful technical measure to protect the Service without prior notice, including but not limited to: blocking or limiting access by address, system or account; setting detection traps; embedding watermarks and identifiers; returning different content in place of the requested content; and suspending or terminating accounts under the Terms of Use.
  2. Upon discovering a violation, VISEM has the right to require the violator to: immediately cease the violation; destroy all copies of VISEM Content, of the data referred to in Article 3, point l, and of any data, indexes, products and models created from them; disclose the source, scope and purpose of use and the parties that have received VISEM Content; and take any other measure permitted by law. VISEM also has the right to require a provider of an Artificial Intelligence System to disclose whether VISEM Content is included in the data used for the development, training or experimentation of that system, in accordance with that provider's disclosure obligations under law.
  3. The violator must compensate all damage in accordance with law, including reasonable costs of detecting, investigating and preventing the violation and attorneys' fees, to the extent permitted by law.
  4. Violations may be subject to administrative handling, including administrative sanctions, or to criminal prosecution in accordance with law, including the law on intellectual property and the law on artificial intelligence. VISEM has the right to notify and provide evidence to competent authorities and, to the extent permitted by law, to the infrastructure and network service providers used by the violator.

Article 11. Amendments and versions

  1. VISEM has the right to amend this notice. Each amendment carries a new version number and effective date. Previous versions are kept publicly at https://visem.vn/ai.
  2. Each act is governed by the version in effect at the time the act occurs. A continuing or repeated act spanning several versions is governed by the version in effect at each point in time. Amendment does not extinguish VISEM's rights in respect of violations that have already occurred.

Article 12. Governing law and dispute resolution

  1. This notice is governed by and construed in accordance with the law of Vietnam.
  2. Disputes arising out of or in connection with this notice shall be resolved by the competent courts of Vietnam.
  3. Clauses 1 and 2 do not limit VISEM's right to request the competent authorities of any country or territory to protect its rights under the law of that place, including through interim measures.

Article 13. General provisions

  1. This notice supplements the Terms of Use at https://visem.vn/dieu-khoan. Where the two documents differ on automated collection, use for artificial intelligence, reverse engineering or protection of VISEM Content, the provision that more strictly protects VISEM Content applies, except for rights that the Terms of Use expressly grant to users with an account, within the scope of those rights.
  2. VISEM's rights under this notice are cumulative and do not replace or limit VISEM's rights under law. This notice does not restrict rights that the law mandatorily grants to everyone and that cannot be excluded by agreement, such as fair quotation with attribution; every prohibition applies to the fullest extent permitted by law. Exceptions that the law allows rights holders to refuse by reservation, including the exception for scientific research, experimentation and training of artificial intelligence systems, have been refused by VISEM under Article 5.
  3. If any provision of this notice is held by a competent authority to be invalid or unenforceable, the remaining provisions remain in full force, and that provision still applies to the maximum extent permitted by law.
  4. VISEM's failure or delay to exercise, or partial exercise of, any right is not a waiver of that right. VISEM's permission for one person, system or act is not permission for any other person, system or act.
  5. This notice is published in Vietnamese, English and Simplified Chinese. If the language versions differ, the Vietnamese version prevails.
  6. All communications concerning this notice, including license requests outside the declaration page and reports of violations, should be sent to support@visem.vn.
